Super League Vote Clears Metaplanet 2,100 BTC Deal

by shayaan

Super League Enterprise stockholders cleared every proposal tied to Metaplanet’s investment at the company’s 2026 annual meeting, held October 16, 2026. The decisive item, Proposal No. 2, authorized the issuance of up to 435,859,500 common shares under Nasdaq Listing Rule 5635 and passed with 1,055,621 votes in favor, 25,314 against, and 19,343 abstentions, according to the Form 8-K Super League filed with the SEC on October 19.

The vote does not close the transaction. It clears the two items that required stockholder consent: the share issuance and the amended certificate of incorporation. The deal now moves to Nasdaq filings and customary closing conditions ahead of an anticipated fourth-quarter close. The distinction matters because what stockholders approved on October 16 was the authorization to issue the paper, not the transfer of the 2,100 bitcoin itself.

The transaction was first announced on August 18 as a definitive agreement between Super League and Metaplanet, Inc. (TSE: 3350). Thursday’s meeting converted that agreement from a plan into an approved corporate action.

The Vote and What It Cleared

Super League’s 8-K itemizes seven numbered proposals. Proposal No. 2 was the binding one: it authorized the issuance of up to 435,859,500 common shares under two subscription agreements dated August 18, 2026. One agreement is with Metaplanet Holdings, Inc., a Florida corporation; the other is with Evo Fund, a Cayman Islands exempted company. The 1,055,621-to-25,314 margin excludes 316,141 broker non-votes. Counted against only the shares actually voted, approval ran to roughly 96 percent.

The remaining proposals split between binding and advisory items. Stockholders re-elected directors Ann Hand and Robert Kalutkiewicz as the two Class III nominees, and approved the amended charter, the 2025 equity plan expansion, the auditor’s ratification, and an adjournment authorization. Six advisory charter items, including the name change to “Superplanet, Inc.” and the increase in authorized shares from 750 million to 1 billion common and from 10 million to 100 million preferred, passed by similarly lopsided margins. The name-change advisory item drew the widest support, with 1,381,852 votes in favor.

The Contribution and the Consideration

Under the agreement, Metaplanet contributes 2,100 bitcoin plus $2.5 million in cash through its wholly owned U.S. subsidiary, Metaplanet Holdings. In exchange it receives 44,859,400 shares of common stock at $3.00 per share, 100 shares of convertible perpetual preferred stock, and ten-year warrants to purchase up to 381 million shares across four tranches with exercise prices stepping from $3.00 to $33.50. Metaplanet’s closing shares carry a five-year lock-up, and for 24 months after closing it holds the right to subscribe for up to 2,100,000 shares of junior liquidity preferred stock at a $100 stated value, a further $210 million of potential capital.

The share count was fixed against bitcoin’s closing price on Coinbase at 4:00 p.m. New York time on August 14, 2026, the agreement’s reference date, and does not move with the coin’s price before closing. At $3.00 per share, the 44,859,400-share consideration is worth about $134.6 million on its own.

How Fast the Bitcoin Number Moves

The release fixes the deal’s moving part in precise terms. Measured at the August 14 reference price, 2,100 bitcoin was worth approximately $132.1 million, an implied price of about $62,905 per coin. By October 16, the day of the vote, the same 2,100 bitcoin was worth approximately $170.0 million, implying roughly $80,952 per coin. At bitcoin’s price of about $77,319 on October 19, the contribution carries a market value near $162.4 million, higher than the reference valuation but lower than the October 16 figure by roughly $7.6 million. That swing, entirely outside the control of either party, is the reason the share count was frozen in August.

For Super League’s existing stockholders, the vote also formalized governance changes that Metaplanet required. The advisory charter items include a waiver of Section 203 of the Delaware General Corporation Law, a corporate-opportunities waiver for Metaplanet and its affiliates, a forum-selection clause designating Delaware courts, and the declassification of the board into a single annual class. These are not cosmetic: they are the control provisions that let a majority owner run the company without the usual takeover defenses.

What Still Stands Between the Vote and Closing

The transaction remains subject to required filings with the Nasdaq Capital Market and other customary closing conditions, and the companies have targeted a fourth-quarter 2026 close. Until it closes, Super League continues to trade under the SLE ticker, and the bitcoin has not moved. The approval also does not guarantee the deal: the 8-K records a quorum and the vote results, not a signed closing. Any Nasdaq objection to the new share structure or the SUPA listing would restart the timeline.

Matt Edelman, Super League’s chairman, chief executive officer, and president, framed the vote in the accompanying announcement: “I’m deeply grateful to our stockholders for their support. Their approval brings us one step closer to redefining what this company can become.” He added: “If the transaction closes, we would no longer be defined solely by our current scale. Alongside an operating business that continues to serve many of the world’s most recognizable brands, we would have a treasury seeded with 2,100 Bitcoin and the long-term backing of one of the largest corporate Bitcoin holders globally.”

A Second Listed Bitcoin Treasury

At closing, Super League will become “Superplanet, Inc.” and trade on Nasdaq under the symbol SUPA, while its advertising and media-activation business continues as a separate operating segment. The structure gives Metaplanet a U.S.-listed bitcoin treasury vehicle alongside its Tokyo listing, a consolidated group whose bitcoin position spans the Nasdaq Capital Market and the Tokyo Stock Exchange.

Metaplanet has spent two years building one of the largest corporate bitcoin treasuries in the world, lifting its holdings to roughly 44,000 BTC as of its third-quarter update. The 2,100 bitcoin earmarked for Super League represents less than 5 percent of that position, which is why the contribution reads as a capital-allocation decision rather than a sale: the coins stay inside a consolidated entity Metaplanet will control.

Edelman said as much in a stockholder letter issued in early October, calling the August agreement “the most consequential transaction in our history” and writing that “Metaplanet is not approaching Super League as a short-term financial investment.” The five-year lock-up on the closing shares is the structural evidence backing that statement: Metaplanet cannot sell its way out of the position on a short horizon.

What remains open is whether the market values Superplanet on its advertising revenue, its 2,100-bitcoin treasury, or the warrants that could eventually hand Metaplanet up to 381 million additional shares. The vote answered the governance question. The pricing question will be answered after the SUPA ticker starts trading.
